This Paxxy Driver Addendum forms part of the Agreement between you and Paxxy and outlines additional terms and conditions that govern your provision of Transportation Services through the Paxxy Platform. Any capitalized terms used in this Addendum carry the definitions provided in the Agreement. This Addendum replaces and nullifies any previous version of the Paxxy Driver Addendum or any earlier compensation or commission program you may have accepted.
Driver payout
You are entitled to a Driver payout for the Rideshare Services you perform for Riders, as set forth in the Agreement and in this Driver Addendum (the “ Driver Payout”).
- Driver Fare Upfront. In most cases, you will be quoted the Driver Fare you will receive for a trip before you accept the trip request (the “ Driver Fare Upfront ”). The Driver Fare Upfront is calculated using multiple factors, including, but not limited to, the estimated time and distance, the type of vehicle you use or whether you are using an Express Drive or rental vehicle, the type of service you are providing (Paxxy Ride, Paxxy Green, Paxxy Black, Paxxy XL, Paxxy Black XL), the market and location where you provide Rideshare Services, and other real-time market conditions. You will be paid the Driver Fare Upfront once you accept and complete the trip request, unless there are significant changes to the trip.
- Fixed Fare. Paxxy operates with a Fixed Fare, meaning the Driver Fare you will receive for a completed trip will not vary based on factors such as traffic congestion or actual duration time. However, in situations where there are modifications to the Trip for which you were quoted an Upfront Fare, you will receive an “Adjusted Fare” as your Driver Fare. This Adjusted Fare consists of a new Fixed Fare calculated by Paxxy that includes a base amount, plus the necessary adjustments based on the actual new destination and the recalculated distance. For illustrative purposes, the Adjusted Fare will be activated solely if a Passenger modifies the final destination mid-Trip. The Adjusted Fare may be higher or lower than the original Upfront Fare to compensate for the destination modification.
- Where applicable, the base fare, pickup fare and/or time and distance amounts are shown on a fare card in your Driver Dashboard. If explicitly stated on your Fare Card, you can earn incremental amounts based on the actual time and distance between when you accept a ride request and when you pick up the Rider. The Fare Card amounts shown on the Driver Dashboard are personal to you. Fare Card amounts may vary based on factors such as the market in which you provide Rideshare Services or pick up a particular ride, the date you applied or were approved as a Driver, the type of vehicle you use, the type of service you provide (Paxxy Ride, Paxxy Green, Paxxy Black, Paxxy XL, Paxxy Black XL), and other real-time market conditions as determined by Paxxy. The fares in the market where you pick up the Rider will apply to that trip. In certain situations, the Driver Fare may be predetermined (such as a fixed-fare trip) or subject to certain minimum or maximum amounts, as described on your Fare Card.
- Other Factors Affecting Your Driver Fare: In some situations where a Rider cancels a trip request you've accepted, you may be paid a cancellation fee. See the terms and conditions for details. In those cases, you'll be paid a Driver Fare for the cancellation fee amount shown on your Fare Card. Your Fare Card may not be set up or available to you until you are an approved Driver, and you agree that Paxxy makes no representations or warranties regarding Fare Card amounts. Your Fare Card amounts are subject to change at Paxxy's discretion. By continuing to use the Paxxy Platform, you are deemed to have accepted these changes.
Additional Payments to the Driver
- In addition to the Driver Fare, you will receive additional payments, if applicable, including:
(i) any tips a Rider provides to you, (ii) any surcharge we collect to remit to you, (iii) any tolls we collect on your behalf, and (iv) any bonuses, incentives, or other payments you receive in return for providing Services for Paxxy.
Payments, Adjustments, and Settlement
- Paxxy will collect payments owed to you by Riders and other third parties as their limited payment collection agent, and you agree that Paxxy's receipt of such payments satisfies the payer's obligation to you. Paxxy reserves the right to adjust or withhold all or part of a Driver Fare or other payment due (excluding tips and except where prohibited by law or contract) (i) if we determine you have attempted to defraud or abuse Riders, Paxxy, or Paxxy's payment networks, (ii) to resolve a Rider complaint (e.g., you utilized an inefficient route or failed to properly end a specific instance of the Rideshare Services in the Paxxy app after the trip had already ended), or (iii) if you end a trip at a location other than the destination sent through the Paxxy app. Paxxy's decision to adjust or withhold your Driver Fare or any other payment in any way will be exercised fairly. We will make all reasonable efforts to ensure that your Driver Fare and any other payments made to you are paid at least once a week. You acknowledge and agree that all payments due to you will not include any interest and will be net of any amounts we are required by law to withhold. If you are a licensed or professionally permitted Driver providing Rideshare Services through a transportation services company, Paxxy will collect Rideshare Fare and Service Charges owed by Riders and other third parties as a limited payment collection agent and remit them, as appropriate, to that company. Any payments owed to you as a Driver for a transportation services company are the responsibility of that company according to your agreement with it, and Paxxy will not be responsible in any way for remitting any payments directly to you.
Rider Charges
- Paxxy will charge the Passenger an amount calculated or determined by Paxxy on your behalf for the Rideshare Services you provide (the “Passenger Charges”). The Passenger Charges will be quoted upfront at the time of the ride request (a “Fixed Fare”). This Fixed Fare is the result of a calculation that considers various dynamic factors, including demand and estimated distance/time. Your payment for the Services will be the Driver Fare as described in Sections 1-3 above. Unless we inform you otherwise, the Passenger Charges include the Driver Fare, applicable tolls, and fees retained by us (including the Service Fee and Platform Fee [described below] and any Third-Party Fees). Riders may also choose to add an additional tip to your fare. The tip will be provided to you in full. “Third-Party Fees” include applicable airport fees, or any state or local fees, surcharges, or taxes imposed on the provision of Rideshare Services or the provision of the Paxxy Platform by Paxxy that Paxxy is required by law or agreement to collect or remit to third parties.
Paxxy Commission
- In exchange for facilitating the Rideshare Services you provide to Riders, you agree to pay Paxxy (and allow Paxxy to retain) a fee based on each transaction in which you provide Rideshare Services, comprised of a service fee (“Service Fee”) and a platform fee (“Platform Fee”), collectively the “Paxxy Commission”. The Service Fee will be a fixed amount for each trip, as established in the terms and conditions at the time of the trip. The Platform Fee will be a variable amount equal to the Rider Charges less: (i) the Driver Payout, (ii) any tolls or surcharges we collect to forward them to you, (iii) the Service Fee, (iv) any Third-Party Fees that Paxxy collects, and (v) any bonuses or incentives you receive as payment based on your provision of Rideshare Services. In the case of a trip where the combination of (i)-(v) above is greater than the Passenger Charges, no Platform Fee will be charged for that trip. In such cases, any excess amount you receive will be an adjustment to the Platform Fee (or, if necessary, an adjustment to another payment owed to you). The Platform Fee may include any applicable Event Fees (as determined by Paxxy) based on the trip pickup or drop-off location. For your convenience, Paxxy may collect the Service Fee and applicable Event Fees from Passengers on your behalf to offset the payment of those fees to Paxxy. Paxxy’s Commission may be communicated to you weekly in aggregate. In addition, Paxxy may charge you other fees on a one-time, recurring, or periodic basis. The amount of such fees may vary based on the market or other factors and will be communicated to you before the fee is incurred.
Payment Processing
- The payment processing services provided by Stripe are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (collectively, the "Stripe Terms"). By utilizing the Paxxy Platform to receive payment revenue, you agree to be bound by the Stripe Terms, which may be amended from time to time. As a condition of Paxxy enabling payment processing services through Stripe, you authorize Paxxy to obtain all necessary access and execute all necessary activity on your Stripe Connected Account to facilitate its provision of Rideshare Services as contemplated in the Agreement and your contractual relationship with Paxxy. In addition, you agree to provide accurate and comprehensive information about yourself and your company, and authorize Paxxy to share this and transaction information with Stripe for the purpose of facilitating the payment processing services provided by Stripe. Paxxy reserves the right to switch payment processing providers or use alternative or backup providers at its discretion.
Payout On-Demand
- If you choose to receive payments through Paxxy's Payout On-Demand feature (which Paxxy may offer at Paxxy's sole discretion, “Payout On-Demand”), you acknowledge that, unless prohibited by law or contract, Paxxy may charge you a 1.5% fee for this service, as described by Paxxy prior to confirmation. You understand that (i) your financial institution may not support Payout On-Demand, (ii) Paxxy and Stripe offer no guarantee as to the speed with which Payout On-Demand payments will clear to your account, and (iii) not all payments via the Paxxy Platform are eligible for Payout On-Demand. If you choose to use any of the direct debit features made available to you by Paxxy or its third-party partners, you acknowledge that you may be subject to supplementary agreements related to those services.
Promotions and coupons
- Paxxy may, at its discretion, offer promotional or other coupons to Riders. The Driver Fare you receive for Services rendered will not be affected by any discount or promotion applied to the Rider. Your payment amount will be determined based on the Driver Fare for the trip, as set forth in this Driver Agreement.
No additional amounts
- You understand and agree that, in a joint effort to increase demand for Rideshare Services, Paxxy and its affiliates will invest in advertising and market promotion targeting new and existing Riders. You acknowledge that such Paxxy activities do not constitute a right to receive any additional monetary sums beyond the amounts already detailed in this Agreement and the Driver Agreement.
Communications
- As stated in the Agreement you accepted upon registering, Users —including Drivers— authorize and expressly agree to receive communications from Paxxy, its affiliated entities, and/or Customers through written, electronic, or verbal means. This may include manually dialed phone calls, emails, prerecorded or artificial voice messages, push notifications, and text messages sent through automated systems when necessary to complete requests you initiate, maintain your account, and as permitted by applicable law, even if your number is listed on federal or state Do-Not-Call or Do-Not-Email registries. Communications related to Paxxy’s Transportation Services may include, among other things, operational messages concerning your account or your use of the Platform.
Paxxy may also provide you the option to enroll in recurring promotional communications, which may include updates about new or existing features, marketing announcements, promotions managed by Paxxy or by third-party partners, potential earning opportunities for Drivers, and industry-related news. You understand that agreeing to receive promotional communications is entirely voluntary and is not a condition for using the Paxxy Platform or its services. Paxxy does not charge you for sending these messages, but you are responsible for any carrier fees, data charges, or messaging costs applied by your mobile service provider. Message frequency may vary, and we recommend reviewing your mobile plan for additional details.
You are solely responsible for all fees associated with text messaging. If you change or deactivate the phone number you provided to Paxxy, you agree to update your account information to prevent unintended communications from being sent to someone who may later receive your previous number. To the extent allowed by law, Paxxy is not liable for undelivered, delayed, or misdirected messages, any inaccuracies in the information transmitted, or any actions you take or fail to take based on communications received through these channels.
